Your access to and use of this Website constitutes your acceptance of and agreement to abide by each of the terms set below including our Privacy Policy which is hereby incorporated in these terms. If you are using our Website on behalf of your organization, that organization must accept these terms.

These terms may be modified, changed, supplemented, or updated in its sole discretion at any time without advance notice. We suggest that you visit this terms of use page regularly to keep up to date with any changes. Your continued use of this Website will confirm your acceptance of these terms as modified, changed, supplemented, or updated. Use of Website

The purpose of our Website is to provide you the services offered by 2TeamNFT, an ecosystem powered by blockchain technologies focused on artwork tokenization and token sales and auctions. You must not breach any of the following terms or our Acceptable Use Policy set out below.

We may display third-party content, advertisements, links, promotions, logos, and other materials on our Website (collectively, the “Third-Party Content”) for your convenience only. We do not approve of, control, endorse or sponsor any third parties or Third-Party Content, and we make no representations or warranties of any kind regarding such Third-Party Content, including, without limitation, the accuracy, validity, legality, copyright compliance, or decency of such content. Your use of or interactions with any Third-Party Content, and any third party that provides Third-Party Content, are solely between you and such third parties and we are not responsible or liable in any manner for such use or interactions. We are not responsible for any of the content on third-party sites linked to our Website nor can it be assumed that we have reviewed or approved of such sites or their content, nor do we warrant that the links to these sites work or are up to date.

User Content

If you post, upload, input, provide or submit your personal data to us, including without limitation, your name, email address, IP address, cryptocurrency address, text, code, or other information and materials or sign up to our mailing list (collectively, your “User Content”), you must ensure that the User Content provided by you at that or at any other time is true, accurate, up to date and complete and that any User Content you post, upload, input, provide or submit to us or via our Website do not breach or infringe the intellectual property rights of any third party. We do not own, control or endorse any User Content that is transmitted, stored or processed via our Website or sent to us and we are not responsible or liable for any User Content. You are solely responsible and liable for all of your User Content and for your use of any interactive features, links or information or content on our Website, and you represent and warrant that (i) you own all intellectual property rights (or have obtained all necessary permissions) to provide your User Content and to grant the licenses in these terms; (ii) your User Content will not violate any agreements or confidentiality obligations; and (iii) your User Content will not violate, infringe or misappropriate any intellectual property right or other proprietary right, including the right of publicity or privacy, of any person or entity. You are entirely responsible for maintaining the confidentiality of your User Content and any of your non-public information. Furthermore, you are entirely responsible for any and all activities that occur under your information (if any). You agree to notify us immediately of any unauthorized use of your User Content or any other breach of security. We will not be liable for any loss or damages that you may incur as a result of someone else using your User Content, either with or without your knowledge. However, you could be held liable for losses incurred by the 2TeamNFT Parties (as defined below) or another party due to someone else using your User Content. You may not use anyone else’s User Content at any time without the permission of such person or entity.

By posting, uploading, inputting, providing, or submitting your User Content to us, you grant 2TeamNFT, its affiliates, and any necessary sub-licensees a non-exclusive, worldwide, perpetual, right and permission to use, reproduce, copy, edit, modify, translate, reformat, create derivative works from, distribute, transmit, publicly perform and publicly display your User Content and sub-license such rights to others.

Feedback

If you decide to submit questions, comments, suggestions, ideas, original or creative materials or other information to us (collectively, “Feedback”), you do so on your own accord and not based on any request or solicitation from us. Feedback does not include User Content. We reserve the right to use Feedback for any purpose at no charge and without compensation to you. Do not send us Feedback if you expect to be paid or want to continue to own or claim rights to your Feedback. The purpose of these terms is to avoid potential misunderstandings or disputes if nextagegallery.com’s products, services, business ideas or business strategies might seem similar to ideas submitted to us as feedback. If you decide to send us Feedback, you acknowledge and understand that the 2TEamNFT Parties make no assurances that your Feedback will be treated as confidential or proprietary.

Aggregate Information

2TeamNFT and its licensors retain all rights, titles, and interest in and to this Website and its products and services, including all copyrights, patents, trade secrets, trademarks, other intellectual property rights, trade names, logos, slogans, custom graphics, button icons, scripts, videos, text, images, pictures, software, code, files, content, information and other material available on our Website and nothing on this Website may be copied, imitated or used, in whole or in part, without our or the applicable licensor’s prior written permission. 2TeamNFT reserves all rights not expressly granted.

We may gather information and statistics collectively about all visitors to this Website which may include the information supplied by you. This information helps us to design and arrange our Web pages and to continually improve our Website to better meet the needs of our Website users. We may share this kind of aggregate data with selected third parties to assist with these purposes. Personal data is processed by us in accordance with our Privacy Policy.

Acceptable Use Policy

(e) use this Website or links on this Website in any manner that could interfere with, disrupt, negatively affect or inhibit other users from using this Website or links on this Website or that could damage, disable, overburden or impair the functioning of this Website or our servers or any networks connected to any of our servers in any manner;

(f) create a false identity for the purpose of misleading others or fraudulently or otherwise misrepresent yourself to be another person or a representative of another entity including, but not limited to, an authorized user of this Website or a 2TeamNFT representative, or fraudulently or otherwise misrepresent that you have an affiliation with a person, entity or group;

(g) mislead or deceive us, our representatives, and any third parties who may rely on the information provided by you, by providing inaccurate or false information, which includes omissions of information;

(h) disguise the origin of any material transmitted through the services provided by this Website (whether by forging message/packet headers or otherwise manipulating normal identification information);

(i) violate, infringe or misappropriate any intellectual or industrial property right of any person (such as copyright, trademarks, patents, or trade secrets, or other proprietary rights of any party) or commit a tort;

(j) upload files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another’s computer or property;

(k) send, upload, display or disseminate or otherwise make available material containing or associated with spam, junk mail, advertising for pyramid schemes, chain letters, virus warnings (without first confirming the authenticity of the warning), or any other form of unauthorized advertising or promotional material;

(l) access any content, area, or functionality of this Website that you are prohibited or restricted from accessing or attempt to bypass or circumvent measures employed to prevent or limit your access to any content, area or functionality of this Website;

Indemnification

To the fullest extent permitted by applicable law, you will indemnify, defend and hold harmless us and our respective past, present, and future employees, officers, directors, contractors, consultants, equity holders, suppliers, vendors, service providers, parent companies, subsidiaries, affiliates, agents, representatives, predecessors, successors and assigns (collectively, the “2TeamNFT Parties”) from and against all claims, damages, liabilities, losses, costs, and expenses (including attorneys’ fees) that arise from or relate to: (i) your access to or use of our Website, products or services; (ii) your User Content; (iii) any Feedback you provide; or (iv) your violation of these Terms.

We reserve the right to exercise sole control over the defense, at your expense, of any claim subject to indemnification pursuant to these terms. This indemnity is in addition to, and not in lieu of, any other indemnities set forth in a written agreement between you and 2TeamNFT.

General

These terms are governed by the laws of the EU. All claims arising out of or relating to these terms will be litigated exclusively in the courts of the EU and we and you consent to personal jurisdiction in those courts.

These terms control the relationship between us and you. They do not create any third-party beneficiary rights.

If you do not comply with these terms, and we don’t take action right away, this doesn’t mean that we are giving up any rights that we may have (such as taking action in the future).

If it turns out that a particular term is not enforceable, the term will be modified such that it is enforceable and this will not affect any other terms contained herein.


Conditions for artists

1. Object

Through https://www.NextAgeGallery.com, NextAgeGallery makes available to THE ARTISTS a platform that allows them to exhibit and/or sell physical artworks and their associated NFT.

The inclusion of products (NFT) on the Website is governed by these “Terms and Conditions” that the artist, art gallery, and museum, accept at the moment of contracting the services of NextAgeGallery such as:

Physical artwork tokenization and offered for sale (physical and digital artwork).
Profile creation in the marketplace
Promotions
There are additional services like 3D gallery creations, fair participation, interviews, podcasts, etc.

Artists, museums, and art galleries will receive 100% of the sale price of their artworks.
NextAgeGallery fees are 20% of the artwork prices (added to the price) for platform maintenance. This commission is paid by the buyer.

NextAgeGallery reserves the right to modify, without prior notice, the content of these Terms and Conditions so that the ARTIST is recommended to read the Terms and Conditions each time the service is contracted or renewed on the PORTAL https://www.NextAgeGallery.com.

2. Process

THE ARTISTS must provide us with the following information:

  • Data identifying the artist
  • Title
  • The year in which the work was created
  • Category, style, or artistic trend.
  • Description or summary of the meaning of the artwork
  • Dimensions (Size)
  • Any details that are important to highlight in the artwork.
  • General shipping conditions (only for physical products)
  • Price

Once the price of the artwork and its descriptive aspects have been established, according to the parameters specified for that purpose, the tokenization itself proceeds, the generated file is uploaded to Polygon, where the data of the artwork is recorded, permanently, immutably, and transparently.

3. Entry into Force, Duration, and Commencement of the Service

NextAgeGallery reserves the right to accept or not the ARTIST depending on the selection criteria of the NextAgeGallery CURATORs, and/or the sensitivity or affinity that may be had with the artist.

If THE ARTIST is selected by NextAgeGallery, the contracting of the services will be formalized at the time of payment made (depending on the type of plan chosen) by THE ARTIST to NextAgeGallery, at which time these general terms and conditions of the contract are accepted.

The duration of the service is forever. This service may be suspended for the following reasons:

THE ARTIST may stop collaborating with NextAgeGallery at any time he/she wishes, without having to give explanations or reasons. The ARTIST may opt for the following measures:

Ask NextAgeGallery to delete and destroy all his NFTs (cost $0).
Request that all your NFTs be transferred to the Wallet of another holder (Cost: 10% of the value of the work).
NextAgeGallery may suspend the services of an ARTIST for the following reasons:

  • Commercial malpractice
  • Poor service to the end customer
  • Attempted deception or breach of copyright.
  • The purchase and sale of the artwork will be formalized at the moment of the online payment of the artwork by the customer (buyer).

4. Obligations

THE ARTIST declares that the use of the services of NextAgeGallery, as well as the inclusion of content and logos of the Artist, are not linked to illegal activity or violate the image and/or rights of NextAgeGallery or third parties.

All information provided by THE ARTIST to NextAgeGallery must be legal and truthful and not likely to infringe the copyright or third-party rights. For these purposes, THE ARTIST guarantees the authenticity of all information provided to NextAgeGallery both directly and through the web.

Similarly, it will be the responsibility of the ARTIST to keep all information provided to NextAgeGallery permanently updated and adapted at all times to the actual situation of the ARTIST. In any case, THE ARTIST shall be solely responsible for any false or inaccurate statements made and the damages that this causes to NextAgeGallery or other ARTISTS.

NextAgeGallery is obliged to provide the ARTIST with the Services subscribed to by the ARTIST in the Services Provided section under the terms set out in these Terms and Conditions.

NextAgeGallery reserves the right to temporarily suspend, without prior notice when the urgency so requires, the provision of the contracted service due to the possible need to carry out maintenance, repair, updating, or improvement of said Service. NextAgeGallery also reserves the right to modify these Terms and Conditions, as well as the systems, content, and services related thereto, giving the ARTIST not less than fifteen (15) calendar days prior notice by e-mail to the address provided by the ARTIST; the ARTIST’S continued use of the Service provided by NextAgeGallery following the communication of modifications by NextAgeGallery shall constitute acceptance by THE ARTIST of such modifications.

NextAgeGallery will provide the Services in accordance with the quality levels applicable to it as a Service provider. Notwithstanding the foregoing, the Service provided by NextAgeGallery will be conditioned by the state of the Internet telecommunications network, so NextAgeGallery will not be responsible for service interruptions, delays, errors, malfunctions, and other inconveniences that have their origin in causes beyond the control of NextAgeGallery, and/or due to negligence, willful or negligent acts of the ARTIST and/or originating from force majeure. Without prejudice to the provisions of Article 1105 of the Civil Code, the concept of force majeure, and for the purposes of this contract, shall include all events beyond the control of NextAgeGallery, and especially failures of third parties, operators or service companies, acts of government, lack of access to third party networks, acts or omissions of public authorities, and those produced as a result of natural phenomena, blackouts, etc..

NextAgeGallery’s possible liability to the ARTIST for all concepts shall be limited at most to the amount of the sums received directly from the ARTIST by NextAgeGallery during the period of non-performance of the contracted Services.

NextAgeGallery is not responsible for the economic performance and commercial results of the Service, being solely responsible for the suitability of the Service for the purposes of promotion via the Internet.

Failure by the ARTIST to comply with any obligation shall entitle NextAgeGallery to immediately suspend any of the Services contracted by THE ARTIST for the duration of such non-compliance.

To comply with current legislation THE ARTIST must accept the return of a product up to 14 days after the sale, provided it is in perfect condition and returned in its original packaging.

5. Intellectual Property

In addition to the provisions of the Terms and Conditions, the authors of the Works inform NextAgeGallery that they are the owners of the intellectual property of the Works and represent that they are the owners of the intellectual property rights of the artworks.

6. Personal Data Protection

The guidelines mentioned in the Data Protection section are followed.

7. Purchases and Product Shipments

The purchase and sale of the artwork will be formalized at the moment of the online payment of the artwork by the buyer.

The shipping of the physical artwork will be the responsibility of the artist and paid in full by the client.
NextAgeGallery offers a guaranteed artwork shipping service that can be used by artists or requested by clients. All shipments of physical artwork must be insured.

All works are tokenized and will be transferred to the customer’s wallet at the time of purchase or, if the customer so desires, will remain in an escrow wallet until the customer decides to transfer it to their wallet or sell it.

8. Warranties

In the sale of physical artworks, NextAgeGallery acts as an intermediary between THE ARTIST, who is the owner of the artworks, and the buyer, who is the purchaser of the artworks.

THE ARTIST guarantees the following for each work offered for sale:

  • Authenticity
  • Originality
  • Non-infringement of third-party rights.
  • The Work is not part of the country’s historical heritage.
  • The Work is not an un-exportable good or of cultural interest.

9. Responsibilities and sanctions

The ARTIST is solely responsible for the sale. The gallery is only an intermediary

THE ARTIST undertakes to follow all indications, processes, and protocols provided by NextAgeGallery with the greatest possible diligence and quality.

The ARTIST is NOT allowed to put personal or third-party commercial information in the shipment to the customer.

THE ARTIST may hereby include email, telephone, internet domain or any other on the packaging of the work sold.

Failure to comply with any of the ARTIST’s statements in these Conditions is considered very serious and, if deemed by NextAgeGallery, could lead to the removal of the ARTIST from the NextAgeGallery platform.

Similarly, it is considered a very serious breach by the ARTIST, the lack of availability, access, and delivery of an artwork offered for sale by THE ARTIST and sold on NextAgeGallery, and not being able to send and deliver the work that the customer has purchased. Such a breach will result in the removal of THE ARTIST from the NextAgeGallery platform.

In the event that THE ARTIST sells by his own means a physical work that is for sale on the NextAgeGallery platform, he must communicate it as soon as possible so that NextAgeGallery can immediately remove the NFT from the sale on the platform.

10. Applicable Law and Jurisdiction

These conditions shall be governed by European Law. Any dispute arising from the interpretation and/or execution of the same, the parties submit, at their free choice, and waiving any other jurisdiction, to the jurisdiction that the current rules of private international law designated as competent.

11. Taxes

THE ARTISTS are responsible for paying any and all sales taxes on their artwork, VAT and other direct taxes now or hereafter due, duties and assessments now or hereafter claimed or imposed by any governmental authority, associated with their use of the Platform (including, without limitation, any taxes that may be payable as a result of their ownership, transfer, purchase, sale or creation of any artwork).


Sales policy

The purchase and sale of the artwork will be formalized at the moment of the online payment of the artwork by the buyer.

Legal guarantees
All our equipment sold, benefits from the legal guarantee of conformity and the guarantee of hidden defects, under the following legal conditions.

Article L.211-4 (Consumer Code): The seller is obliged to deliver a good in conformity with the contract and shall be solely responsible for defects of derivatives during shipment. He shall also be liable for defects arising during packaging, assembly instructions or installation when the latter is his responsibility under the contract he has concluded.
Article L.211-5 (Consumer Code): To respond to the conditions of the contract, the artwork must:
Be fit for use and, if not:
Correspond to the description given by the seller and possess the characteristics that the latter has presented to the consumer by means of the form of a sample or model – Present the characteristics that a consumer may legitimately expect with respect to the public statements made by the seller, by the manufacturer or his representative, notably in advertising or on labeling.
Possess the characteristics defined by a common agreement agreed between the parties, or be suitable for any special use sought by the consumer, which comes to the knowledge of the seller, and which the latter has accepted.
Article 1641 (Civil Code): The seller is liable for the guarantee of any hidden defect of the good sold that makes it unsuitable for the use for which it was intended, or that considerably diminishes such use, that the buyer has not acquired it, or has only given a minimum price if he had known them.
Article 1648 (Civil Code): The action resulting from redhibitory defects must be brought by the consumer within two years from the discovery of the defect. The seller is liable for any lack of conformity that becomes apparent within two years of delivery; also, the consumer and user must inform the seller of the lack of conformity within two months of becoming aware of it. NextAgeGallery represents and warrants that its Internet platforms are technically prepared for the sale of products and services.
NextAgeGallery does not grant any warranty on products or services of third parties.

Guarantee of quality and authenticity of the artwork
All paintings marketed by NextAgeGallery and susceptible of known authorship, are sent to the customer or buyer accompanied by their respective GUARANTEE OF AUTHENTICITY document specifying its technical characteristics, quality, and condition of unique work created by its legitimate author, not susceptible to legal reproduction.

NextAgeGallery makes no warranties about the results that may be obtained from the use of its products or services, nor about the full reliability or absence of errors in them.

Delivery of orders
The estimated delivery time will depend on the countries of origin and destination of the artwork, and the weight and fragility of the artwork.

Shipping costs
Shipping and customs charges, if any, are borne by the customer.

The shipping of the physical artwork will be the responsibility of the artist and paid in full by the client.
NextAgeGallery offers a guaranteed artwork shipping service that can be used by artists or requested by clients. All shipments of physical artwork must be insured. Failure to do so will result in the customer being responsible for damages and must claim against the shipping company, if applicable.

All works are tokenized and will be transferred to the customer’s wallet at the time of purchase or, if the customer so desires, will remain in an escrow wallet until the customer decides to transfer it to their wallet or sell it.

Non-payment
In the case of 30 days after the sale or auction and if the buyer has not paid the shipping costs, NextAgegallery may cancel the transaction by returning the work to the seller or opt for legal action as a breach of contract, being borne by the buyer the costs incurred.

Returns

The shipments of the artworks are sent directly from the artist’s studio, which will work with the main national and international transport companies. We guarantee the possibility of return within a maximum period of 14 calendar days from the reception of the work and always with the same or similar packaging that guarantees that the work is perfectly insured for its return transport.

Personal Information

When you visit our website, you may provide personal data about yourself that may include your name, email address, phone number, tax ID number, physical address, and other information that can directly identify you individually (collectively, “Personal Information”).

We also collect Personal Information if you provide it to us to receive newsletters or when requesting support, and we share that with our newsletter and customer support providers. Some of the data we collect is not Personal Information on its own, such as IP address or exact latitude and longitude coordinates, but where we can associate that information with other personal data (like your name or email address), we treat it as Personal Information. You also acknowledge that where your personal data has been shared with others per this privacy policy or your instruction, it is not part of your user and will not be deleted.

We do not knowingly collect or maintain personally identifiable information from persons under 13 years of age, and no part of the Site or Service is directed to persons under 13. Do Not Track

Currently, we do not respond to “Do Not Track” browser features, but we may do so in the future as industry standards evolve.
